We provide an SMS messaging platform that enables users to send text messages through registered 10DLC campaigns in compliance with The Campaign Registry (TCR) and applicable carrier and regulatory requirements.

We do not guarantee message delivery, approval of campaigns, or uninterrupted access to the platform.

3. User Responsibilities

3.1 Compliance

You are solely responsible for compliance with all applicable laws and regulations, including but not limited to:

• Telephone Consumer Protection Act (TCPA)
• Cellular Telecommunications Industry Association (CTIA) guidelines
• CAN-SPAM Act
• Carrier rules and restrictions

You must properly register brands and campaigns with TCR and provide accurate, truthful information.

3.2 Messaging Practices

• You must obtain valid, documented opt-in consent from recipients before sending messages.
• You must honor opt-out ("STOP") and help ("HELP") requests immediately.
• You may not send spam, fraudulent, misleading, or unlawful content.
• You are responsible for ensuring your message templates and campaign use cases are approved by TCR/carriers.

3.3 Indemnification

You agree to indemnify, defend, and hold harmless the Company from and against any claims, fines, damages, or expenses arising from:

• Your failure to comply with laws, carrier rules, or TCR requirements.
• Message content or delivery disputes.
• Regulatory or carrier enforcement actions tied to your use of the platform.

4. Fees and Payments

• You agree to pay all applicable subscription, campaign registration, usage, and carrier pass-through fees.
• Fees are non-refundable unless required by law.
• Failure to pay may result in suspension or termination of your account.

5. Suspension and Termination

We may suspend or terminate your account immediately, without refund, if you:

• Violate these Terms,
• Fail to comply with TCR/10DLC requirements,
• Harm carrier relationships or platform integrity, or
• Engage in unlawful or abusive practices.

6. Data Handling

• We may collect and share user data as required for TCR/10DLC registration, carrier compliance, fraud prevention, or legal obligations.
• Please refer to our Privacy Policy for details on data use and protection.

7. Limitation of Liability

To the maximum extent permitted by law:

• The Company is not liable for any indirect, incidental, or consequential damages (including lost profits, lost customers, or reputational harm).
• The Company is not responsible for carrier filtering, delays, rejections, or failures beyond our control.
• Your sole remedy for dissatisfaction with the service is to discontinue use.

8. No Warranties

The services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Governing Law and Dispute Resolution

• These Terms shall be governed by the laws of Wyoming.
• Any disputes will be resolved exclusively in the courts of Wyoming.
• You waive the right to participate in class actions against the Company.

10. Changes to Terms

We may update these Terms from time to time. Updates are effective when posted to our website. Continued use of our services constitutes acceptance of updated Terms.
